Terms of Service
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you (and, if you use the Service for an organisation, that organisation) and 2658023 Ontario Inc, trading as Green Reporting ("Green Reporting", "we", "us"). By creating an account, accepting these Terms in the application, or using the Green Reporting platform (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. These Terms also govern your use of our marketing website (greenreportinggroup.com), including browsing, downloading resources, and submitting forms, whether or not you create an account.
2. The Service
Green Reporting is a climate analytics platform that generates climate and financial impact reports — including GHG scope analysis, carbon cost modelling, scenario analysis, and draft sustainability disclosures structured with reference to frameworks such as IFRS S1/S2, AASB S1/S2 and UK SRS S1/S2 — from information that you supply through the application. Our marketing website also provides illustrative tools and resources, including a carbon-cost estimator and sample reports, which are for evaluation purposes only and are not generated from your actual data.
3. Your account
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. Team plan administrators are responsible for the users they invite. You must be at least 18 and able to form a binding contract to use the Service.
4. Plans, payment and report limits
Access is sold on the plans described on our pricing page (for example, Professional: 1 user with an annual report allowance; Team: up to 5 users with per-user allowances). Payments are processed by Stripe; we do not store your card details. Fees are non-refundable except where required by law. Plan allowances reset or expire as described at purchase, and we may suspend generation when an allowance is exhausted or a plan has expired. Prices may change with notice; changes apply from your next renewal.
5. Your data and inputs
All financial figures, emissions data, risk parameters, narratives and other inputs you enter ("User Inputs") remain yours. You grant us a licence to process User Inputs solely to operate the Service — including generating your reports and producing draft disclosure narrative — and you are responsible for having the right to submit them. Green Reporting does not independently verify, audit or validate User Inputs. Every output of the Service depends entirely on the accuracy and completeness of what you enter.
6. Reports and outputs — important disclaimers
Decision-support only. Reports, scores, scenario analyses and proposed disclosures generated by the Service are decision-support and drafting tools. They do not constitute financial, investment, legal, accounting, tax, audit, assurance or regulatory advice.
Without limiting the above:
- (a) Draft disclosures. Proposed accounting and sustainability disclosures are drafts and must be reviewed and amended by qualified professional advisers before submission to any regulator, investor, lender or other third party. Compliance with applicable reporting standards remains solely your responsibility.
- (b) GHG Data Readiness is not verification. The GHG Data Readiness Assessment is an automated internal consistency check. It is not third-party GHG verification, independent assurance, or an audit opinion under ISO 14064-3, ISAE 3410, AA1000AS or any equivalent framework, and must not be represented as such in any external communication.
- (c) Forward-looking content. Scenario analyses and projections are based on assumptions about future events and are inherently uncertain. They are planning tools, not forecasts or predictions.
- (d) Benchmarks and reference data. Sector benchmarks and emission factors are drawn from third-party sources and may not match your boundary or methodology; verify before external use.
- (e) Report formats and precedence. Reports are issued in PDF format, with optional Word, Excel and CSV exports. The PDF version is the final, authoritative report. Word exports are editable working copies provided for internal drafting; Excel and CSV exports are data extracts that do not contain the full report narrative and disclaimers. In the event of any discrepancy between formats, the PDF version prevails, and any amendments you make to working copies or extracts are your responsibility and do not form part of the report as issued.
7. AI-assisted content
Parts of your report narrative (for example, framework-aligned disclosure language) are generated with the assistance of third-party artificial-intelligence services using your User Inputs. AI-generated text can contain errors or omissions. You must review all AI-assisted content before relying on it or sharing it externally.
8. Acceptable use
You must not: misuse, probe or disrupt the Service; attempt to access other customers' data; resell or white-label the Service without our written agreement; use outputs to mislead investors, regulators or the public (including representing readiness scores as assurance); upload unlawful content or content you lack rights to; or use the Service to build a competing product.
9. Intellectual property and licence to use the Service
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your subscription term, solely for your own internal business purposes in accordance with your plan. This right terminates automatically upon expiration or termination of your subscription.
We own the Service, including its software, models, scoring methodologies, templates and branding, and the marketing website's content and design. You own your User Inputs, and you own the reports generated for you, subject to these Terms. We may use aggregated, de-identified usage information to improve the Service.
These Terms apply to customers on our self-serve Professional and Team plans. If you are an Enterprise customer with a separately signed order form or master services agreement, that agreement governs your use of the Service to the extent its terms conflict with these Terms.
10. Confidentiality
Reports are marked confidential and are intended for your internal use and your professional advisers. We treat your User Inputs and reports as your confidential information and do not disclose them except to the service providers needed to operate the Service (see the Privacy Policy) or where required by law.
11. Disclaimer of warranties
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that outputs will satisfy any regulatory requirement.
12. Limitation of liability
To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data or goodwill; (b) we are not liable for loss arising from reliance on reports or scores, errors in User Inputs, decisions made based on outputs, failure of projections to reflect actual outcomes, or representations you make to third parties based on outputs; and (c) our total aggregate liability under these Terms is limited to the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including under Ontario consumer protection legislation where it applies.
13. Indemnity
You will indemnify us against third-party claims arising from your User Inputs, your breach of these Terms, or your external use of outputs contrary to Section 6 or 8.
14. UK and Australian consumer protections
These Terms are intended for business customers acting in the course of a trade, business, craft or profession. If you are contracting as a consumer under the UK Consumer Rights Act 2015, or as a consumer under the Australian Consumer Law, nothing in these Terms excludes, restricts or limits any right, guarantee or remedy that cannot lawfully be excluded, restricted or limited under that legislation. Where our liability may be limited for a non-excludable consumer guarantee under the Australian Consumer Law, our liability is limited, at our option, to supplying the Service again or paying the cost of having the Service supplied again.
15. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or risk to the Service or other users. On termination, sections that by their nature should survive (including 5, 6, 9–14 and 17) survive. You should download your reports before termination; we may delete account data after a reasonable period.
16. Changes to the Service or these Terms
We may modify the Service and these Terms. If we make material changes, we will publish an updated version and ask you to accept it in the application before continuing to use the Service. The version and effective date appear at the top of this page.
17. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. The courts of Ontario have exclusive jurisdiction, and you and we each waive objections to that venue. This does not remove any statutory protection you are entitled to as a consumer under Section 14 that cannot be excluded by choice of law.
